The Working Paper examines the peculiarities of the Russian model of corporate governance and control in the banking sector. The study relies upon theoretical as well as applied research of corporate governance in Russian commercial banks featuring different forms of ownership. We focus on real interests of all stakeholders, namely bank and stock market regulators, bank owners, investors, top managers and other insiders. The Anglo-American concept of corporate governance, based on agency theory and implying outside investors’ control over banks through stock market, is found to bear limited relevance. We suggest some ways of overcoming the gap between formal institutions of governance and the real life.

In the process of developing an information system for logistics transportation, there is a need to determine the initial rating of the new carrier within the parent company. The presence of the rating helps to more accurately carry out the formation of orders and build forecasts of its interaction with the parent company in the future
The concept of Umwelt introduced by J. von Uexküll is important not only for biosemiotics, but also for the development of cybernetics, general system theory, and management theory. Umwelt is not just an environment of a living organism, but also a certain cut of reality, a subjective world of perception and action of the organism. This concept is connected with concepts of ecological niche, negative feedback, homeostasis, and mobile equilibrium, as well as the concept of sustainable development. The semiotic turn in the life sciences and in cognitive science influences the management theory. In it, such conceptual tendencies as constructivism, active adaptation, the choice of possible and preferable futures, and the extended ecological approach are methodologically significant.
Companies are realizing the importance of adopting strategic management of sustainable innovation in order to meet the constraints of the globalized world and achieve superior business performance. Thus, this study aimed to analyze the adoption of a strategic management of sustainable innovation in industrial companies from Galícia. The study was characterized as qualitative and understood a study of multiple cases with Galícia industrial companies. Results showed that there is a rigid legislation and market pressure that drives organizations to adopt practices towards sustainability, but this approach is not characterized as strategic, considering they have a greater focus on product innovation aiming at a higher generation revenue.
This article describes the challenges facing established practices and patterns of human resource management (HRM) during the economic recession. It is based on the results of the CRANET survey, administered in Russia in the third quarter of 2008, on the 2008 CRANET data available for Bulgaria and on survey of companies’ executives, implemented in the first half of 2010. We found that Russian HRM practices that are based on low formalization of performance assessment, great versatility of payment arrangements, and high flexibility of working and contractual arrangements enabled companies to adapt to the recession conditions without massive layoffs.
The article examines the market for selling tickets for open events with a paid entrance. Based on an analysis of the preferences and experience of the target audience of various events and the expert opinion of event managers, conclusions are drawn regarding the effectiveness of methods for promoting entertainment events online and offline among visitors of different age categories, as well as the tendency for the complete transition of the ticket market to the Internet is predicted.

Modern business schools exist in a complex world of rankings, ratings, and credentials. Some argue that in increasingly competitive global higher education markets, signaling status and quality has actually become more important than having them (Gioia & Corley, 2002; Trank & Rynes, 2003). For many contemporary business schools, international accreditations have become key means and first steps in pursuing legitimacy and global status. In this essay, we elaborate in detail on a business school’s international accreditation process, including its motivations and outcomes. We conclude that while accreditation processes are, at best, fruitful quality improvement exercises, the inherent motivations stemming from the urge for organizational legitimacy, status, and reputation should not be overlooked by either the accrediting agencies or business schools themselves. Ironically, while accreditation agencies (AACSB and EQUIS are those focused on here) rarely explicitly encourage competition, their exclusivity seems to generate it between schools that aspire to belong to “the club.” For schools that gain access to the process, this means that on the flip side of the happy and collaborative jump in quality there is a much more serious demarcation and revealing redefinition of the accredited entity’s future supporters, collaborators, partners, and competitors.
Smoking is a problem, bringing signifi cant social and economic costs to Russiansociety. However, ratifi cation of the World health organization Framework conventionon tobacco control makes it possible to improve Russian legislation accordingto the international standards. So, I describe some measures that should be taken bythe Russian authorities in the nearest future, and I examine their effi ciency. By studyingthe international evidence I analyze the impact of the smoke-free areas, advertisementand sponsorship bans, tax increases, etc. on the prevalence of smoking, cigaretteconsumption and some other indicators. I also investigate the obstacles confrontingthe Russian authorities when they introduce new policy measures and the public attitudetowards these measures. I conclude that there is a number of easy-to-implementanti-smoking activities that need no fi nancial resources but only a political will.
One of the most important indicators of company's success is the increase of its value. The article investigates traditional methods of company's value assessment and the evidence that the application of these methods is incorrect in the new stage of economy. So it is necessary to create a new method of valuation based on the new main sources of company's success that is its intellectual capital.

At present many industries reveal tendency for setting up of vertically integrated companies (VIC) the structure of which unites all technological processes. This tendency proved its efficiency in oil industry where coordination of all successive stages of technological process, namely, oil prospecting and production -oil transportation - oil processing - oil chemistry - oil products and oil chemicals marketing, is necessary. The article considers specific features of introduction of "personnel management" module at enterprises of oil and gas industry.
