This monograph is devoted to one of the most urgent problems of corporate law – the problem of conflict of interests of majority and minority participants of a business company, finding a reasonable balance of their interests,as well as the related problem of protecting minority shareholders from various kinds of abuse by the majority. The author focuses on the specifics of these problems in the context of a non-public company, and also conducts a detailed comparative legal research on this topic, analyzing the experience of the United States and Great Britain. Based on the results of the study, specific recommendations are given for improving Russian corporate legislation in this area. The book is intended for scolars, postgraduates and University students of Law faculties, researchers, practicing lawyers and anyone interested in corporate law.
