The article analyses the correlation between theories of a legal person and doctrines explaining the nature of the executive body of a legal person. The view on executive body as on a type of representative corresponds to the theories of fiction. The theory of the real personality of a special union (organic theory) considers the body as a part of legal person. Analyzing the consequences of choice of each of the theories, as well as the foreign law experience, the author challenges the opinion that theory of the real personality is irrelevant to modern practice.
