The article examines the legal nature of the transaction made by a man of straw for the secret owner of the business. The author comes to the conclusion that the transaction in itself is not an illegal transaction and is most often qualified as a transaction of a indirect representative. The indirect representation of a man of straw may be combined with the performance of the fiduciary function. In many cases, the transaction of a man of straw must be declared invalid due to circumvention of the law or abuse of law.
