The research is based on the case-study of joint stock company “Sistema” which is a large Russian investment company controlled by its founder. The study consists of in-depth interviewing of the members of the Board of directors and members of the executive body of the company, the analysis of its internal documents and reports, and other pieces of information from open sources. The existing literature suggests that companies with concentrated ownership, even if they decide to recruit high-profile individuals as directors, rarely involve the boards in decision-making. We revealed that the transformation of its business model from operational holding company to investment one accompanied by the strengthening of the role of the Board of directors in strategic decision making and recruiting independent (mainly foreign) directors to the board in this company.

The paper discusses co-existence of the two basic strategies of the Russian companies . isolation from the state and close cooperation with the state. The author analyzes influencing factors and possible ways of realization of these strategies and draws the analogy with «exit» and «voice» strategies explored by A. Hirschman. It is shown that under the conditions of weak government both discussed strategies are informal and lead either to tax evasion and moving of business activities into the shadow economy or to the «state capture» phenomenon. Both privatization of the state and its evasion result in the budget crisis as well as in drastic social and political shocks which bring out the demand for the strong state in the business community itself. However, in the absence of political competition and democratic control mechanisms increasing of the state takes place in the form of bureaucratic consolidation along with creating the preconditions for informal «business capture» by the authorities. Nevertheless, high degree of openness of the economy and heterogeneity of state actors provide the business with the wide range of possible strategies aimed at the interaction with the state. The article explores the hypothesis of these strategies becoming more formal and public comparing to the 1990s. Isolation from the state will take form of the legal business internationalization (including selling shares to foreign investors, Russian direct investment into foreign economies, etc.). Cooperation with the state will be more efficient in case of switching from traditional individual lobbying of private interests to rational collective actions aimed at providing necessary grounds for sustainable economic development in their sectors, industries and regions.

This paper analyses the specifics of national corporate governance in the Russian economy and the emergence of micro%models of corporate control in Russian companies. Special attention is paid to key issues of separation (non%separation) of corporate ownership and executive management. The prevailing type of corporate control is the control by the dominating owner who takes a direct part in management or controls hired managers. The paper shows that integration processes promote gradual separation of ownership and operational management, and emergence of demand for legitimate institutions used to exercise shareholders’ corporate control over the executive management. The paper is based on results of surveys and in%depth interviews with top%managers and owners of Russian companies implemented in 1999—2005.

This paper continues studies of stock ownership and corporate governance implementing in SU HSE since 1999. The aims of the paper are to analyze trends in transformations of corporate ownership in the Russian industry, and effects of various types of property and compositions of share equity on business performance and investments activities. Quantitative analysis is based on data of statistical structural survey for near 1,300 large and medium-sized industrial enterprises. Also qualitative analysis uses in-depth interviews with top-managers of industrial enterprises conducted in 2003. The paper is concluded with discussion of main issues and limits for applied microeconomic surveys.

The paper investigates innovation activities of enterprises, and the impact both of intra-firm features and external determinants of business climate on these activities in transitional economies. The main attention is focused on administrative barriers and accompanying corruption burden in the case of innovative fi rms. We use “Business Environment and Enterprise Performance Survey” (BEEPS – joint initiative of the European Bank for Reconstruction and Development and the World Bank) 2009 data base for the analysis. The binary logistic regression was implemented. Analysis revealed correlation between increase of administrative barriers and various types of innovations (product and organizational innovations, and R&D expenditures), and increase of corruption costs for product innovations.

The paper analyzes concentration of stock ownership and finds out ways for organization of internal corporate control in Russian companies by dominating shareholders. A set of determinants for owners’ choice of hired top-managers vs. of managers-shareholders against the background of corporate integration is defined. Statistically significant factors based on binary logistic regression models are revealed. The study is based on the data of a survey of 822 top-managers of large and medium-sizes joint stock companies in industry and communications conducted in 2005 at 64 regions of Russia within the joint research project implementing by scholars from Hitotsubashi University (Japan) and State University – Higher School of Economics.

The article presents an overview of results of theoretical and empirical researches devoted to explain the phenomenon of spatial concentration of production. It also presents the main concepts of the author’s research, aiming to identify an effect of spatial concentration of production in the Russian economy during the period of 1998–2004. The article demonstrates that the spatial organization of production is still under the influence of soviet times’ policy. However in the period of economic growth there is a trend of production redistribution between the regions. Speed and scale of the process differs from one industry to another. The factors that influence the organization of production include vertical links between the industries, access to recourses, proximity of the main sales markets, impact of international competition.
