This article advances the institutional perspective of business strategy by showing how institutional, industry-level and firm-level factors affect foreign ownership strategies. This is done by empirically analyzing the ownership decisions of eight Finnish companies operating in Russia in sectors, which can be defined as strategic. Our results show that industry-level determinants are central in the ownership decision. Institutional constraints faced by enterprises vary along strategic importance and value-creation logic of the industry, which in turn affects the perceived importance of local assets as a firm-level determinant. Innovations are becoming critical for the sustainable development of the Russian Federation (RF). Most of the articles on innovative development concern a country level missing some of the essential regional-scale factors. The subject of the analysis in this article is the functioning of the regional innovation system and the specifi c features of the instruments and institutions of innovation policy that provide incentives for innovation processes at the regional level. Within the framework of this study, the main characteristics, stages of evolution and SWOT-analysis of the innovation system of one of the leading regions in innovation development in the RF – the Republic of Tatarstan (RT) – are highlighted. The main historical and political reasons for the formation of key features of the regional innovation system are analyzed. Particular attention is paid to assessing the effectiveness of the regional innovation policy and identifying risks associated with its implementation. The main conclusion of the study is the thesis that subnational institutions that use indirect (soft) tools to stimulate innovation activity, to a signifi cant extent, form the innovative environment and become decisive in interregional competition. In our opinion, such institutional innovations were defi ning at the analyzed period. Among the key factors for the successful development of innovations in the Russian regions, the important role is played by coordinated activities of government brunches at all levels and the effectiveness of the organization of a dialogue between government and business. The fi ndings of the study are based on the analysis of federal and regional statistics, various Russian and international ratings, the results of the previous studies and a series of informal interviews with experts and participants in innovative processes in Tatarstan.

The paper analyses the relations of transnational companies with the state in their host countries. The focus is on foreign firms operating in the rapidly changing markets of former state socialist countries. In more detail, we investigate and compare the relations that Finnish companies have with the state in Russia, China, and Estonia. The three rapidly developing economies are challenging for foreign investors as they have considerably reorganized their formal institutional framework and the role of the public sector in business. Theoretically, our study contributes to the governance approach of institutional economics, especially to the discussion on formal and informal institutions in the organization of social relations of foreign companies, as well as relational economic geography. The study identifies the challenges and problems in the relations that foreign firms have with the state in the three host countries. Furthermore, we point out successful mechanisms of governance, i.e. the ways in which problems arising from the institutional context in the host country have been solved in the companies under investigation. Empirically, our analysis is based on a database of interviews with transnationalized Finnish companies that represent various company sizes and lines of business. The findings reveal similarities and differences in the governance mechanisms in terms of the three emerging economies. Drawing from evidence from the three economies with different processes of restructuring, the study points to the diverse roles of formal (e.g. rule-based) and informal (e.g. relationship-based) institutions in business. The paper uses the evidence from Russia to analyze the arrangements for interaction between foreign firms (FF) and key national partners in the countries of their operations, review the actual mechanisms for collective action selected by FF operating in the Russian market, and assess the effectiveness of such mechanisms. The analysis focuses on foreign business associations (FBAs) operating in Russia and the Foreign Investment Advisory Council (FIAC) under the Office of the Russian Prime Minister. We identify the main stages and factors that were driving the evolution of these two main instruments over the last 25 years. We also provide the comparative analysis of the effectiveness of these two main instruments of collective action for FF in Russia, as well as highlight the factors contributing to higher effectiveness of individual FBAs under the current Russia’s circumstances. The main conclusion of the study is that political (rather than economic or institutional) factors play a key role in explaining the changes in the effectiveness of collective efforts of FF. Improvement of corporate governance in Russian corporations with state ownership remains to be among the important tasks due to substantial (recently even increasing) participation of state in the economy as an owner. The paper reflects key problems the Russian state faces with in the joint-stock companies with state ownership those decreased the efficiency of corporate governance. The international evidence (first of all that of OECD countries) of resolving these problems is summarized. The findings are illustrated with the data of Russian enterprises sample surveys conducted by the State University – Higher School of Economics in 2002–2006.
